Terms of Service.

Effective date: January 1, 2026. These Terms of Service ("Terms") govern your access to and use of the AWSNegotiations.com website and any advisory engagements ("Services") provided by AWSNegotiations ("we", "us", "our"). By using the site or engaging us, you agree to these Terms.

1. Independence and non-affiliation

AWSNegotiations is an independent, buyer-side advisory practice focused exclusively on AWS contract negotiation. We are not affiliated with, endorsed by, or sponsored by Amazon Web Services, Inc. or any of its subsidiaries. All references to AWS programs, products, and pricing constructs (including EDP, PPA, MAP, Savings Plans, and Reserved Instances) are used solely to describe the subject matter of our advisory work.

2. Scope of Services

Our engagements are advisory in nature. We provide benchmarking, negotiation strategy, contract review, financial modeling, and stakeholder coaching. We do not sign contracts on your behalf, do not resell AWS services, and do not receive commissions, kickbacks, or referral fees from AWS, distributors, or resellers. Engagement scope, deliverables, and fees are documented in a separate Statement of Work ("SOW") that, together with these Terms, forms the complete agreement.

3. Confidentiality

All non-public information you share with us in the course of an engagement is treated as confidential. We sign a mutual NDA at engagement start and never use a client's pricing data, contract terms, or commercial sensitivities for the benefit of any other client. Anonymized, aggregated benchmark data may be referenced in our research and publications without identifying any client.

4. Authority and benchmarks

References on this site to "$2.4B+ AWS spend reviewed," "500+ engagements," "38% average reduction," and "$340M+ client savings" describe the cumulative footprint of our advisory practice and are based on internal tracking. Individual results vary by spend profile, workload mix, negotiation timing, and AWS commercial posture. We make no guarantee of any specific savings outcome.

5. No legal, tax, or investment advice

Our advice concerns commercial negotiation of AWS agreements. It is not legal, tax, accounting, or investment advice. You should engage qualified counsel and tax advisors for those matters. Contract redlines we propose are subject to your legal team's review and approval.

6. Acceptable use of the website

You may not scrape, harvest, or systematically reproduce content from this site without prior written permission. White papers and playbooks are licensed for the internal use of the requesting organization only. The work-email gate on our forms is a contractual condition of access — submissions from disposable or personal email addresses (gmail, yahoo, outlook, hotmail, icloud, aol, proton, and similar) are not accepted.

7. Intellectual property

All content on AWSNegotiations.com — including frameworks, playbooks, benchmarks, methodology diagrams, and editorial articles — is the intellectual property of AWSNegotiations and protected by copyright. Engagement-specific deliverables become the client's property upon payment in full, subject to a perpetual, non-exclusive license back to us to use anonymized learnings to improve our methodology.

8. Fees, invoicing, and payment

Fees, payment terms, and acceptable currencies are specified in each SOW. Invoices are due net-30 unless otherwise agreed. Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.

9. Disclaimers and limitation of liability

The site and its content are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, our aggregate liability under any engagement is limited to the fees paid for that engagement in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Disputes are subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. Continued use of the site or our Services after the effective date constitutes acceptance of the revised Terms. For prior versions, contact us via the contact page.
